Caribe Coffee Co. Franchise Terms & Conditions
1. Introduction
Welcome to the Caribe Coffee Co. Franchise Program. These Terms & Conditions govern the relationship between Caribe Coffee Co. Ltd. ("we", "our", or "the Company") and the Franchisee ("you", "your") in connection with the operation of a Caribe Coffee Co. franchise. By applying for or purchasing a franchise, you agree to comply with these terms and conditions.
"Any franchise model requires approval from Caribe Coffee Co. Payment serves as a reservation fee for the franchise model and initiates the application process; however, it does not guarantee acceptance as a franchisee."
2. Application & Approval

Caribe Coffee Co. reserves the right to decline any franchise application or purchase at its sole discretion, without the obligation to provide a reason.

Approval of a franchise application is subject to a thorough review of the applicant’s business experience, financial stability, and overall suitability for operating a Caribe Coffee Co. franchise.

Any false or misleading information provided during the application process may result in immediate disqualification or termination of the franchise agreement.

The purchase of a franchise model with Caribe Coffee Co. is subject to signing a contract with all regulations and requirements, and the Company reserves all rights to approve or deny any application and/or purchase.
3. Franchise Fees & Additional Costs

A franchise fee applies upon approval, with the amount determined based on the franchise model selected (Coffee Stall, Electric Coffee Van, Coffee Shop, or Roastery).

Additional costs may apply, including but not limited to:

A security deposit, assessed based on the level of liability and risk associated with the franchise model and the franchisee's financial standing.

Any custom or extra specifications requested by the franchisee, such as specialized equipment, unique branding elements, or additional operational support.

Administrative costs for legal documentation, additional training, or amendments requested after the initial agreement.

All payments made to Caribe Coffee Co. are non-refundable unless otherwise agreed in writing.
4. Brand Ownership & Usage

Caribe Coffee Co. is the sole owner of all trademarks, brand assets, marketing materials, and intellectual property associated with the company and its franchises.

Franchisees are not permitted to replicate, modify, or transfer any Caribe Coffee Co. branding, marketing materials, or business strategies for personal or external business use.

Any use of the Caribe Coffee Co. brand outside the agreed franchise scope requires prior written authorization from the CEO and/or Director of Caribe Coffee Co.

Any misuse, unauthorized branding, or attempt to operate a competing business using Caribe Coffee Co. proprietary information, branding, or intellectual property will result in immediate franchise termination and potential legal action.

Caribe Coffee Co. will own everything related to the franchise, including data, information, processes, equipment, vans, gazebos, and any new product or process created under the brand or during the involvement with the company, unless the franchisee pays a full disclosed price outlined in the final contract.
5. Marketing & Customer Data

All customer data acquired by any franchisee (including but not limited to customer lists, sales records, marketing analytics, and operational data) is the sole property of Caribe Coffee Co.

Franchisees must not sell, transfer, or replicate customer data for personal use or for any business other than their approved Caribe Coffee Co. franchise.

Franchisees are required to follow the brand's marketing guidelines and cannot create independent promotional materials or social media accounts without express approval from Caribe Coffee Co.

The Company reserves the right to update, modify, or remove marketing assets and promotional campaigns to maintain brand integrity.
6. Franchise Operations & Compliance

Franchisees are expected to adhere to Caribe Coffee Co.'s quality standards, ethical sourcing principles, and sustainability practices.

Franchisees must operate within the agreed-upon territory and cannot expand outside this area without written consent.

Any failure to meet brand standards, customer service expectations, or operational guidelines may result in a compliance review and corrective action, which could include temporary suspension or termination of the franchise.

Caribe Coffee Co. reserves the right to conduct audits or inspections at any franchise location or operation to ensure compliance.
7. Renewal, Transfer & Termination

Franchise agreements are valid for a specified term (as outlined in the franchise contract) and are subject to renewal at the discretion of Caribe Coffee Co.

Franchise rights cannot be sold, transferred, or assigned to another party without prior written approval from the CEO and/or Director.

The Company reserves the right to terminate the franchise agreement under the following conditions:

Breach of contract or failure to meet franchise obligations.

Unauthorized use of brand assets, customer data, or intellectual property.

Failure to maintain operational, financial, or quality standards as required.

Legal violations or unethical business practices.
-
Reputational damage to Caribe Coffee Co. due to the actions of the franchisee.

8. Liability & Indemnification

Franchisees operate their business as independent contractors and are solely responsible for any legal, financial, or operational risks associated with their business.

Caribe Coffee Co. is not liable for any debts, lawsuits, or operational failures incurred by a franchisee.

Franchisees must maintain all necessary permits, licenses, insurance, and legal compliance required to operate within their jurisdiction.

The franchisee agrees to indemnify and hold Caribe Coffee Co. harmless against any claims, damages, losses, or liabilities arising from their operations.
9. Confidentiality Agreement

Franchisees agree to keep all business-related information confidential, including but not limited to:

Business strategies, supply chain details, and pricing structures.

Coffee sourcing and supplier relationships.
-
Training materials and operational procedures.
-

Any breach of confidentiality will result in legal action and immediate termination of the franchise agreement.
10. Amendments & Policy Updates

Caribe Coffee Co. reserves the right to update these Terms & Conditions at any time.

Franchisees will be notified of any material changes, and continued participation in the franchise program constitutes agreement to the updated terms.
11. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of the United Kingdom (or the relevant jurisdiction where the franchise operates).

Any disputes must first be resolved through mediation, and if necessary, through binding arbitration or legal proceedings in the designated jurisdiction.
